1. Agreement

By accessing or using nought.digital or engaging with Nought Digital Ltd’s services, you agree to these Terms of Service. If you disagree, do not use our website or services.

2. Services

Nought Digital provides consulting, design, development, and AI-based technology services. Each project is governed by a written proposal or statement of work that defines deliverables, timelines, and fees.

3. Payments

Invoices are due within 14 days unless otherwise stated. We may suspend or terminate access to work or systems if payment is late. All fees are exclusive of VAT unless stated otherwise.

4. Intellectual Property

Upon full payment, you receive a non-exclusive, perpetual licence to use deliverables for your business. Nought Digital retains ownership of internal frameworks, pre-existing code, and proprietary AI tooling used in delivery.

5. Limitation of Liability

To the extent permitted by law, Nought Digital Ltd is not liable for indirect or consequential damages, loss of profits, or data loss. Total liability shall not exceed the amount paid for the service in question.

6. Confidentiality

Both parties agree to keep all non-public information strictly confidential, except where required by law or with prior written consent.

7. Termination

Either party may terminate a project with written notice if the other materially breaches the agreement and fails to correct it within 14 days.

8. Governing Law

These terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the English courts.
